Terms of Service

1. Acceptance of Terms

By accessing or using the IngXoXo platform ("Service", "Workspace", "Matrix"), provided by IngXoXo ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service. These terms apply to all merchants, workspace owners, staff accounts, and super-admins interacting with our infrastructure.

2. Description of Service

IngXoXo is a multi-tenant operational command center designed for businesses to manage live orders, catalog synchronization, and customer communications.

• API Reliance: Our Service relies on the integration of third-party platforms, specifically the Meta WhatsApp Cloud API. We do not control Meta's infrastructure and are not liable for outages, policy changes, or deprecations enforced by Meta.
• Service Modifications: We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice, to ensure platform security and stability.

3. WhatsApp Commerce & Acceptable Use

Because IngXoXo utilizes the WhatsApp Business Platform, all merchants must strictly adhere to the WhatsApp Commerce Policy. You agree that you will not use the Service to:

• Transmit, sell, or facilitate the exchange of illegal goods, adult content, alcohol, tobacco, or unapproved pharmaceuticals.
• Send unsolicited spam, deceptive messages, or violate local anti-spam regulations.
• Execute operations that trigger high block/report rates from consumers on the WhatsApp network.

Violation of these guidelines will result in the immediate and permanent termination of your IngXoXo workspace without refund, alongside potential blacklisting by Meta.

4. Billing, Yields, and Capacity

IngXoXo operates on both Pre-Paid and Post-Paid (Commission) architectures, facilitated securely via Razorpay.

• Token Ledgers: Pre-paid operational yields (Orders) are granted upon successful payment verification. Rollover tokens are honored strictly according to the terms defined in your selected matrix.
• Capacity Purchasing Restrictions: To prevent accidental over-purchasing and ensure fair capacity utilization, you may not purchase a new plan if your current workspace holds active rollover tokens. You must exhaust your existing operational yield before initiating a new billing cycle.
• Taxes: All fees are exclusive of applicable federal, state, or local taxes unless explicitly stated. You are responsible for all taxes associated with your purchases.
• Refunds: Please refer to our separate Refund & Cancellation Policy for detailed rules regarding financial disputes.

5. Data Privacy & Ciphertext Protocol

We claim zero ownership over your proprietary customer data, menus, or financial ledgers. We implement AES-256 encryption and stringent multi-tenant database isolation to protect your data. However, you acknowledge that IngXoXo processes this data purely as an infrastructure provider. You remain the data controller and are solely responsible for acquiring the necessary consent from your consumers to communicate with them via our integrated APIs.

6. Limitation of Liability

In no event shall IngXoXo, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located within India, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
